THIS AGREEMENT CONTAINS A MANDATORY ARBITRATION CLAUSE AND A CLASS ACTION WAIVER. YOU MUST REVIEW THIS DOCUMENT IN ITS ENTIRETY BEFORE USING THE PLATFORM.

THESE TERMS OF SERVICE GOVERN YOUR USE OF THE PLATFORM AND SERVICES. BY CREATING AN ACCOUNT OR USING THE PLATFORM, YOU AGREE TO BE BOUND BY THESE TERMS. IF YOU DO NOT AGREE, DO NOT USE THE PLATFORM.

These Terms of Service (Terms), together with our Privacy Policy, constitute a binding legal agreement between you and Delightful OS, LLC, doing business as Squeeze Reviews (Squeeze Reviews, we, us, or our). Squeeze Reviews reserves the right to update these Terms at any time. Your continued use of the Platform after changes are posted constitutes acceptance of the updated Terms.

1. Use of the Platform

Eligibility. You must be at least 18 years old to use the Platform. By using the Platform, you represent that you are at least 18 years old and have the authority to enter into these Terms.

Account Registration. To use certain features of the Platform, you must create an account by providing accurate and complete information. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must notify us immediately of any unauthorized access to your account.

Permitted Use. You may use the Platform only for lawful purposes and in accordance with these Terms. You agree not to use the Platform:

2. Review Collection and Display Services

Our Service. Squeeze Reviews provides a platform that allows businesses to collect reviews from their customers and display those reviews on their websites through our widget embedding technology.

Review Submission. When you submit a review through the Platform:

Review Moderation. Squeeze Reviews reserves the right, but has no obligation, to monitor, edit, or remove reviews that violate these Terms or applicable law. We are not responsible for the accuracy, completeness, or legality of user-submitted reviews.

Widget Embedding. Our Customers may embed reviews on their websites using our widget technology (iframe). By submitting a review, you consent to your review being displayed through this technology. Customers are responsible for properly implementing the widget on their websites.

Customer Responsibilities. If you are a business using our Platform to collect reviews, you agree to:

3. Payment and Fees

Subscription Fees. Access to certain features of the Platform requires payment of subscription fees. You agree to provide accurate billing information and authorize us to charge your payment method for all fees incurred. Subscription fees are billed in advance and will automatically renew until cancelled.

Payment Processing. Payments are processed through Stripe, a third-party payment processor. By providing payment information, you agree to Stripe's terms of service and privacy policy.

Cancellation. You may cancel your subscription at any time through your account settings or by contacting us at reece@squeezereviews.com. Cancellation will take effect at the end of your current billing period. No refunds will be provided for partial subscription periods.

Refunds. All fees are non-refundable except as required by law. Squeeze Reviews reserves the right to issue refunds in its sole discretion.

Late Payments. If your payment method fails, we will attempt to process payment for up to 7 business days. If payment cannot be processed, your account may be suspended or terminated.

Taxes. You are responsible for all taxes associated with your use of the Platform. All fees are exclusive of applicable taxes unless otherwise stated.

4. Intellectual Property

Platform Ownership. The Platform and all content, features, and functionality are owned by Squeeze Reviews and are protected by copyright, trademark, and other intellectual property laws. You are granted a limited, non-exclusive, non-transferable license to access and use the Platform for its intended purpose.

User Content. You retain ownership of the content you submit to the Platform (including reviews), but you grant Squeeze Reviews a perpetual, worldwide, non-exclusive, royalty-free license to use, reproduce, modify, adapt, publish, and distribute such content for the purpose of operating and improving the Platform.

Restrictions. You may not copy, modify, distribute, sell, or lease any part of the Platform without our prior written consent. You may not reverse engineer or attempt to extract the source code of the Platform.

5. Third-Party Services

The Platform may integrate with third-party services. Your use of third-party services is subject to the terms and privacy policies of those third parties. Squeeze Reviews is not responsible for the acts or omissions of third-party service providers.

Your privacy is important to us. Please review our Privacy Policy at www.squeezereviews.com/privacy to understand how we collect, use, and protect your information.

7. Disclaimers

THE PLATFORM IS PROVIDED AS IS AND AS AVAILABLE WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. SQUEEZE REVIEWS DOES NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

WE DO NOT GUARANTEE THE ACCURACY, COMPLETENESS, OR RELIABILITY OF USER-SUBMITTED REVIEWS. REVIEWS REPRESENT THE OPINIONS OF THE AUTHORS AND NOT OF SQUEEZE REVIEWS.

SQUEEZE REVIEWS RESERVES THE RIGHT TO MODIFY OR DISCONTINUE THE PLATFORM AT ANY TIME WITHOUT NOTICE.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SQUEEZE REVIEWS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, OR GOODWILL, ARISING OUT OF YOUR USE OF THE PLATFORM.

Our total liability to you for all claims arising out of or related to these Terms shall not exceed the amount you paid to Squeeze Reviews in the three months preceding the claim.

9. Indemnification

You agree to indemnify, defend, and hold harmless Squeeze Reviews from any claims, damages, losses, liabilities, and expenses (including attorneys' fees) arising out of or related to: (a) your use of the Platform; (b) your violation of these Terms; (c) your violation of any rights of another person or entity; (d) any content you submit to the Platform; or (e) your violation of any applicable laws.

10. Termination

Squeeze Reviews may suspend or terminate your access to the Platform at any time, with or without cause, with or without notice. Upon termination, your right to use the Platform will immediately cease. We will retain your data for 90 days after termination, during which you may request access. After 90 days, we may permanently delete your data.

11. Dispute Resolution

Governing Law. These Terms are governed by the laws of the State of Michigan, without regard to its conflict of law provisions.

Arbitration. Any dispute arising out of or relating to these Terms shall be resolved through binding arbitration administered by the American Arbitration Association in accordance with its Commercial Arbitration Rules. The arbitration shall take place in Ypsilanti, Michigan. The arbitrator's decision shall be final and binding.

Class Action Waiver. YOU AGREE THAT ANY DISPUTE SHALL BE BROUGHT ON AN INDIVIDUAL BASIS ONLY AND NOT AS A CLASS ACTION, CONSOLIDATED ACTION, OR REPRESENTATIVE ACTION. YOU WAIVE YOUR RIGHT TO PARTICIPATE IN A CLASS ACTION LAWSUIT OR CLASS-WIDE ARBITRATION.

Time Limit for Claims. ANY CLAIM MUST BE BROUGHT WITHIN THREE (3) MONTHS AFTER THE EVENT GIVING RISE TO THE CLAIM OCCURRED.

12. General Provisions

Entire Agreement. These Terms, together with our Privacy Policy, constitute the entire agreement between you and Squeeze Reviews regarding the Platform.

Severability. If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

Waiver. No waiver of any term of these Terms shall be deemed a continuing waiver or waiver of any other term.

Assignment. You may not assign these Terms without our prior written consent. Squeeze Reviews may assign these Terms at any time without notice.

Platform: The Squeeze Reviews website, services, software, and all related functionality.

Customer: A business or individual that uses the Platform to collect reviews.

Reviewer: An individual who submits a review through the Platform.

Review: User-generated content including ratings, comments, and feedback submitted through the Platform.

Widget: The embeddable code (iframe) that displays reviews on a Customer's website.
